1. Service Subscription: Broker Kit is a Software as a Service (SAAS) platform designed to facilitate insurance brokers in capturing and submitting data with ease, alongside providing Customer Relationship Management (CRM) features.

2. Subscription Fee: The service is available at a monthly fee of €149, granting access to three users per organization. Additional users may be added to the service at a cost of €20 per user per month.

3. No Fixed Term: The subscription to Broker Kit does not entail a fixed term contract. Users may cancel their subscription by sending a cancellation request via email to support@brokerkit.ai.

4. Cancellation Policy: Upon receipt of a cancellation request, the service will be terminated at the end of the most recent paid month.

5. Data Management: Broker Kit is a tool for brokers to capture and manage client data. The platform does not offer advice services. Client data is not shared without explicit consent from the broker and is stored locally on the broker's own network. Broker Kit does not sell data to advertisers or third parties.

6. User Responsibility: Users are responsible for ensuring the security of their data and complying with all applicable laws and regulations regarding data protection and privacy.

7. Intellectual Property Rights: Broker Kit and all associated intellectual property, including but not limited to trademarks, service marks, trade names, logos, domain names, and any other features of the brand are owned by Broker Kit. The software, its structure, sequence, organization, source code, and documentation contain valuable trade secrets of Broker Kit. Users are granted a non-exclusive, non-transferable, revocable license to use the service for their internal business purposes. Any rights not expressly granted herein are reserved by Broker Kit. Users agree not to duplicate, modify, distribute, transmit, or otherwise exploit any material from the service without the prior written consent of Broker Kit.

8. Indemnification: Users agree to indemnify, defend, and hold harmless Broker Kit and its affiliates, officers, agents, employees, and partners from any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with the user's access to or use of the service, or the user's violation of these Terms and Conditions.

9. Limitation of Liability: To the fullest extent permitted by applicable law, Broker Kit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the user's access to, use of, or inability to access or use the service; (b) any conduct or content of any third party on the service; or (c) unauthorized access, use, or alteration of the user's transmissions or content. In no event shall Broker Kit's aggregate liability for all claims related to the service exceed the greater of €500 or the amounts paid by the user to Broker Kit in the past twelve months.

10. Governing Law and Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles. Users agree that any legal action or proceeding between them and Broker Kit related to the service shall be brought exclusively in a court of competent jurisdiction located in Waterford, Ireland. Users consent to the jurisdiction and venue of such courts and waive any objection as to inconvenient forum. This provision shall not prevent Broker Kit from seeking injunctive relief in any jurisdiction in the event of infringement of intellectual property rights.

11. Amendments to Terms and Conditions: Broker Kit reserves the right to modify, amend, or update the Terms and Conditions at any time and without prior notice. Users will be notified of any changes through the service's interface or via an email to the address associated with their account. Continued use of the service after any such changes shall constitute the user's consent to such changes. Users are advised to periodically review the Terms and Conditions for any modifications. If a user does not agree to the new terms, they should stop using the service and cancel their subscription.

12. Data Retention and Deletion: Broker Kit will retain user data only for as long as is necessary for the purposes set out in these Terms and Conditions, and in accordance with applicable laws and regulations. Upon termination of a user's account, Broker Kit will delete or anonymize the user's data within a reasonable period unless retention of data is required by law or for legitimate business purposes. Users may request the deletion of their data at any time by contacting support@brokerkit.ai. All data is stored securely and is accessed only by authorized personnel. Broker Kit is committed to maintaining the confidentiality and integrity of user data and employs appropriate measures to prevent unauthorized access, disclosure, alteration, or destruction of data.

13. AI Usage: You are responsible for using our services lawfully and must not misuse any AI-enabled features. Our AI components are designed to assist you, but we do not guarantee their performance in all scenarios. We disclaim liability for any issues arising from the use of our AI systems. Any content you provide may be used by us under a license for service improvement purposes. We reserve the right to modify these terms at any time, and continued use of our services constitutes acceptance of any changes.

By subscribing to Broker Kit, users agree to these terms and conditions. It is the user's responsibility to review these terms periodically for any changes or updates.
